Senior Legal Counsel

Location: Montreal, Full Time, Mid- Senior Experience

The Position:

Valnet Inc. is seeking a Senior  Legal Counsel to manage all legal related issues for the company including acquisitions, licensing and intellectual property matters across all platforms. The Senior Legal Counsel will report to General Counsel of parent company and CEO of Valnet.

Main Responsibilities:

  • Work with M&A team on acquisitions, including drafting of closing documents and negotiations;
  • Work with the M&A to draft and negotiate Letter of Intents for acquisitions of targets;
  • Draft and review various commercial (licensing) agreements for our various businesses, and summarize specific clauses of existing agreements, as well as suggest amendments, if necessary;
  • Work with various teams including video, HR and publishing to deal with contractual matters.
  • Responsible for all employee-related matters.
  • Drafting cease and desist letters, take down notices and managing copyright issues on the web and video platforms.
  • Manage the company’s IP portfolio in both the U.S. and Cnaada.
  • Any other tasks as assigned by the company.

Requirements:

  • BCL or LLB Degree.
  • 3 to 5 years at a law firm or similar inhouse position.
  • Member of a law society in any Canadian province.
  • Common Law Degree, considered an asset.
  • Experience in M & A is required.
  • Experience in IP will be is considered an asset.
  • Excellent verbal and written skills in English.
  • Team player, with strong interpersonal skills.
  • Business savvy with management skills.
  • Hardworking and motivated individual who is a self-starter and can work independently.
  • Ability to meet deadlines and balance a variety of requests and mandates in a fast-paced environment.
